These SaaS Subscription Terms and Conditions ("Terms") govern the access to and use of the Bluconn platform, applications, APIs, automation tools, website, and related services (collectively, the "Services") provided by Bluconnect AI India Pvt Ltd ("Bluconn," "Company," "we," "our," or "us").
By accessing, subscribing to, or using the Services, you ("Customer," "User," or "Client") agree to be bound by these Terms.
Bluconn is an AI-powered workforce automation and enterprise communication platform that enables organizations to automate workflows, engage employees and stakeholders, manage field operations, and streamline business processes through conversational AI, WhatsApp integrations, dashboards, APIs, and related technologies.
Eligibility
You may use the Services only if:
- You are legally capable of entering into a binding agreement;
- You are authorized to act on behalf of the organization using the Services;
- Your use complies with all applicable laws and regulations.
Services Overview
Bluconn may provide:
- SaaS platform access;
- AI-powered workflow automation;
- Messaging integrations;
- APIs and system integrations;
- Dashboards and reporting;
- User onboarding and support;
- Cloud-hosted infrastructure;
- Mobile and web applications;
- Analytics and operational insights.
Specific features, modules, pricing, and usage limits may vary based on the subscribed plan or executed commercial agreement.
Subscription and Access
Access to the Services is provided on a subscription basis.
The Customer agrees that:
- Access rights are non-exclusive and non-transferable;
- Only authorized users may access the platform;
- Login credentials must be kept confidential;
- The Customer is responsible for all activities conducted through its accounts.
Bluconn reserves the right to suspend or restrict access in cases of misuse, security concerns, payment default, or violations of these Terms.
Trial and Pilot Access
Bluconn may provide trial, pilot, sandbox, or demonstration access to the Services.
Trial environments:
- May contain limited functionality;
- May be modified or discontinued at any time;
- Are provided without warranties or service guarantees.
Bluconn may delete trial data after the trial period ends.
Customer Obligations
The Customer agrees to:
- Provide accurate information;
- Obtain all required consents from its employees, users, contractors, or stakeholders;
- Ensure lawful use of messaging and communication channels;
- Maintain the security of devices and credentials;
- Use the platform in compliance with applicable privacy, employment, and data protection laws.
The Customer is solely responsible for the accuracy, legality, and integrity of data uploaded or processed through the Services.
Prohibited Use
The Customer shall not use the Services to:
- Violate any law or regulation;
- Send spam, phishing, or unauthorized communications;
- Transmit harmful code, malware, or malicious content;
- Infringe intellectual property or privacy rights;
- Conduct fraudulent or deceptive activities;
- Reverse engineer, copy, or exploit the platform;
- Interfere with platform security or performance.
Bluconn reserves the right to investigate misuse and take appropriate action, including suspension or termination.
AI and Automation
Bluconn may use artificial intelligence, automation, machine learning models, analytics, and workflow engines to generate outputs, recommendations, summaries, or automated actions.
The Customer acknowledges that:
- AI-generated outputs may contain inaccuracies or incomplete information;
- Automated workflows should be reviewed before critical business decisions are made;
- Bluconn does not guarantee error-free AI responses or outcomes.
The Customer remains responsible for operational, legal, financial, and business decisions made using the Services.
Third-Party Integrations
The Services may integrate with third-party platforms including messaging providers, APIs, ERP systems, HRMS systems, cloud infrastructure, or communication channels such as WhatsApp.
Use of third-party services is subject to their respective terms and policies.
Bluconn is not responsible for:
- Third-party outages or failures;
- Changes in third-party APIs or policies;
- Data loss caused by external providers;
- Restrictions imposed by messaging or platform operators.
Where the Services integrate with WhatsApp or similar messaging platforms, the Customer agrees to:
- Obtain legally valid user consent before sending communications;
- Use approved message templates where required;
- Comply with Meta, telecom, anti-spam, and communication regulations;
- Avoid prohibited, misleading, abusive, or unauthorized messaging.
The Customer is solely responsible for message content and communication practices.
Data Ownership and Processing
The Customer retains ownership of all Customer Data uploaded, submitted, or processed through the Services.
Bluconn shall not claim ownership of Customer Data.
The Customer grants Bluconn a limited right to process Customer Data solely for:
- Providing the Services;
- System maintenance and support;
- Security and compliance;
- Product improvement and analytics.
Bluconn implements commercially reasonable administrative, technical, and organizational safeguards to protect Customer Data. However, no system can guarantee absolute security.
Use of the Services is also governed by the Privacy Policy.
Fees and Payments
The Customer agrees to pay all applicable subscription fees, onboarding fees, implementation charges, usage fees, taxes, and other agreed charges.
Unless otherwise agreed:
- Fees are non-refundable;
- Delayed payments may attract suspension or interest charges;
- Pricing may be revised upon renewal or with prior notice.
Service Availability
Bluconn aims to maintain commercially reasonable uptime and availability.
However, the Services may occasionally be unavailable due to:
- Maintenance;
- Upgrades;
- Internet disruptions;
- Third-party failures;
- Force majeure events.
Bluconn does not guarantee uninterrupted or error-free operation.
Confidentiality
Each party agrees to protect confidential information disclosed during the business relationship and not disclose such information to unauthorized third parties except as required by law.
Limitation of Liability
To the maximum extent permitted by law, Bluconn shall not be liable for:
- Indirect or consequential damages;
- Loss of profits, revenue, data, or goodwill;
- Business interruption;
- AI-generated inaccuracies;
- Third-party failures;
- Unauthorized access caused by Customer negligence.
Bluconn's total aggregate liability shall not exceed the fees paid by the Customer during the twelve (12) months preceding the claim.
Indemnification
The Customer agrees to indemnify and hold harmless Bluconnect AI India Pvt Ltd and its affiliates, employees, officers, and partners from claims, liabilities, damages, or losses arising from:
- Misuse of the Services;
- Violation of laws or regulations;
- Unauthorized communications;
- Infringement of third-party rights.
Termination
Bluconn may suspend or terminate access to the Services if:
- The Customer breaches these Terms;
- Payments remain overdue;
- Security risks or unlawful activities are detected;
- Required by law or regulatory authorities.
Upon termination:
- Access rights immediately cease;
- Outstanding payments remain payable;
- Certain data may be deleted in accordance with retention policies.
Force Majeure
Bluconn shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, cyberattacks, labor disputes, or infrastructure failures.
Governing Law
These Terms shall be governed by the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
Updates to These Terms
Bluconn reserves the right to update or modify these Terms at any time.
Updated versions will be published on the website with a revised effective date. Continued use of the Services after updates constitutes acceptance of the revised Terms.
